Annual Venue Agreement
Version 2026-10-25
This Annual Venue Agreement ("Agreement") is between Tugce Ventures LLC, which operates Psst ("Psst", "we"), and the venue named in the signature block ("Venue", "you"). It applies when you choose a paid Psst plan and adds to the duties in the Pilot Agreement, which continue to apply (sections 2, 3, 5 and 6 of the Pilot Agreement). By signing in the venue dashboard, the person signing confirms they have authority to bind the Venue.
1. Term and renewal
- Annual plans run for 12 months from the day you subscribe and renew for another 12 months unless you cancel before the renewal date. Psst emails a renewal notice at least 30 days before each renewal.
- Monthly plans run month to month and renew each month until cancelled.
- You can cancel in the dashboard or by email; cancellation takes effect at the end of the current term. Fees already paid are not refunded except where the law requires.
2. Fees and payment
- Plans. Pro or Lite at the price shown in the dashboard when you subscribe (Chain by separate order form). Psst may change prices for a renewal term with at least 30 days' notice.
- Paying. By card through Stripe, or for annual plans by invoice payable by bank transfer (ACH) or card within 15 days of the invoice date. Stripe processes payments; Psst never sees card or bank details.
- Late payment. If a payment fails or an invoice is overdue, Psst emails reminders. If it remains unpaid after the retries shown in the dashboard, Psst may pause the service (wristbands stop arming) until it is paid; your data stays.
- Taxes. Prices exclude taxes. Invoices list the subscription, wristbands and the door device as separate lines. Sales tax is added where the law requires it.
3. Wristbands and door device
- Included. Annual plans include 600 wristbands a year (200 at the start and up to 400 as top-ups when your busiest nights call for them), the pre-configured door device and onboarding. Extra packs of 100 cost $99 on annual plans and $149 on monthly plans; single replacement bands for lost numbers cost the price shown in the dashboard.
- Ownership. Wristbands and the door device delivered under a paid plan become your property on delivery, including the wristbands kept from your Pilot. Psst may still switch any wristband off server-side for safety or after a loss report.
- Encoding. Only Psst writes wristbands. You do not alter, copy or re-encode them.
4. Revenue features
- Drinks and offers. Send a Drink, mutual bundles and timed offers are priced and fulfilled by you through your own staff and point of sale; you keep 100 % of drink revenue and remain the seller of record. Offers are price promotions only — never free alcohol, volume or speed incentives — and comply with ABC rules.
- Sponsors. Sponsor placements and vouchers follow the Sponsor Agreement; alcohol-supplier money never reaches you through Psst.
- Gift revenue share. When digital gifts are enabled, Psst pays you 30 % of its net gift revenue at your venue monthly through Stripe Connect, with tax reporting through Stripe.
5. The public wall
The public-wall terms of the Pilot Agreement (section 5) continue: you share only through Psst's tool, follow the Community Guidelines and advertising rules for licensed premises, never copy or export guests' photos or posts, and Psst may remove any share.
6. Termination
Either party may end this Agreement for a material breach that is not cured within 15 days of written notice, or at once for conduct that endangers guests. Psst may suspend the service at once where needed to protect guests' safety. On termination your access ends at the end of the paid term; Psst keeps and deletes data as its Privacy Policy and retention schedule say.
7. Indemnities and liability
Each party indemnifies the other against third-party claims arising from its own breach of this Agreement or its own negligence or wilful misconduct; you indemnify Psst for claims arising from your service of alcohol and your door and security operations. To the fullest extent the law allows, neither party is liable for indirect or consequential damages, and each party's total liability is limited to the fees paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
8. General
California law governs this Agreement, without regard to its conflict-of-law rules. This Agreement, the Pilot Agreement terms it keeps, the Staff Training Guide and the Community Guidelines are the whole agreement about your plan. Electronic signature in the venue dashboard has the same effect as a handwritten signature; the dashboard keeps the signed version and both parties may download it.
